Closing is the start of a substantial legal programme, and failures here erode value quietly.

Corporate housekeeping. Filings for name and registered agent changes, foreign qualifications, resignations and appointments, updated governing documents, and a corrected ownership record.

Contracts. Notices of assignment or change of control, consents obtained post-closing, and re-papering of arrangements that could not be transferred.

Employment. Offer letters and onboarding for transferred employees, benefit plan transitions, payroll and workers compensation registrations, immigration filings, and harmonisation of policies with a documented decision on which prevail.

Intellectual property. Recordation of assignments with the relevant registries, domain and social account transfers, and continued prosecution of pending applications.

Real property. Deed recordation, lease assignments, estoppel follow-ups, and utility and permit transfers.

Regulatory. Licence transfers or new applications, which frequently cannot be completed pre-closing and may require transition arrangements.

Insurance. New policies bound at closing, tail coverage for the seller’s directors, and claims-made policy reporting.

Compliance. Extension of the buyer’s programme, training, and a risk assessment for the acquired operations within a defined period.
